STREAMLIGHT POLICY REGARDING INVENTOR SUBMISSIONS
As stated in STREAMLIGHTs Privacy Policy Statement, STREAMLIGHT cannot guarantee the privacy of any materials transmitted to it over the internet. Hence, anything transmitted to STREAMLIGHT via its website (e.g., feedback, product ideas, marketing ideas, comments, suggestions, and the like) shall be considered as non-confidential and non-proprietary. Furthermore, STREAMLIGHT shall be deemed authorized to disclose, publish, and exploit such information for any use or for any purpose without any obligation to the party making the submission, monetary or otherwise. That said, STREAMLIGHT does have a specific procedure for receiving and processing outside suggestions and ideas as provided for below.
As a leading manufacturer of flashlights and related equipment used in both the public and private sectors by retail customers, law enforcement, fire fighters, the military and others, many individuals submit ideas for our consideration. It is often our experience that many ideas submitted have previously been proposed, patented by STREAMLIGHT or others, or may be currently under development within STREAMLIGHT. We believe the U.S. patent law provides the best means to fairly and adequately protect not only STREAMLIGHTs interest regarding the unsolicited submission of ideas, but the submitters interests as well. Therefore, in order to avoid confusion or misunderstanding, STREAMLIGHT will not accept, review, evaluate, discuss or consider in any manner whatsoever, the submission of any idea for which a non-provisional utility and/or design patent has not been issued, absent the execution of Agreement disclaiming any duty of confidentiality. A sample of such an agreement is provided below. Please note that any such submission will not be shown, copied, distributed to, or provided in any manner whatsoever to STREAMLIGHT management, engineers, or other employees. John C. DODD-FRANK CONFLICT-FREE MINERALS LEGISLATION
On August 22, 2012, the US Securities and Exchange Commission (the “SEC”) released final rules relating to Section 1502(b) of the Dodd-Frank Wall Street Reform and Consumer Protection Act (“Dodd-Frank”) that require all public companies to annually disclose and report to the SEC whether any of their products contain minerals (Tin, Tantalum, Tungsten and Gold, so called 3TG or “conflict minerals) that may have originated from mines in the Democratic Republic of Congo or one of nine African nations that share a border with the DRC (the “DRC Region). Although Streamlight is not required to report directly to the SEC, many of its distributors are.
POLICY STATEMENT
Streamlight is committed to sourcing its products responsibly and in compliance with “Dodd-Frank” or any other regulation. Streamlight intends to comply with the requirements of the SEC’s Conflict Minerals rule and expects our suppliers to do the same. Streamlight does not directly purchase raw metal ores that may be used in the manufacture of our products from smelters or mines. As a result, we do not have first-hand knowledge of their source. However, Streamlight requires its suppliers to be compliant as well. Streamlight conducts due diligence to confirm its suppliers are sourcing materials from socially responsible suppliers in order to assure compliance with Dodd-Frank’s conflict minerals reporting rules.
In order to accomplish this, Streamlight will
(i) Require that all of its suppliers complete surveys regarding the country of origin of any of the subject minerals;
(ii) Require that all suppliers agree to cooperate with Streamlight in connection with any due diligence that Streamlight chooses to perform with respect to its country of origin inquiries; and
(iii) Require a supplier, when Streamlight or one of its distributors deems it necessary, to provide reasonable proof of the due diligence performed by the supplier to support the country of origin information provided by the supplier to Streamlight.
This policy applies to all products manufactured by and/or sold by Streamlight anywhere in the world.
